Terms of Use

1. Acceptance of Terms

By downloading, installing, or using the YPAI Voice mobile application (the "App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

YPAI ApS ("YPAI", "we", "us", or "our") reserves the right to modify these Terms at any time. Continued use after changes constitutes acceptance.

2. Description of Service

2.1 Purpose

YPAI Voice is a research tool for collecting audio data for academic and professional linguistics studies. The App is designed for:

• Voice recording of structured research tasks
• Audio data upload to secure cloud storage
• Participation in approved research studies

2.2 Not a Consumer Product

3. User Eligibility

3.1 Age Requirement

You must be 18 years or older to use YPAI Voice. By using the App, you represent and warrant that you meet this requirement.

3.2 Authorized Use Only

You may only use the App if you have been:

• Invited by a research coordinator
• Provided with a valid Participant ID
• Informed of the study purpose and consent requirements

Unauthorized use is prohibited and may result in account termination.

4. User Obligations

4.1 Accurate Information

You agree to:

• Provide accurate Participant ID when requested
• Complete tasks honestly and to the best of your ability
• Not impersonate others or share your Participant ID

5. Intellectual Property Rights

5.1 App Ownership

YPAI Voice and all related technology, design, and content are the exclusive property of YPAI ApS. These Terms do not grant you any ownership rights.

5.2 Your Voice Recordings

5.3 Research Use Only

Recordings may be used for:

• Academic publications and conference presentations
• AI/ML model training (anonymized)
• Linguistics research and analysis

NOT for:

• Commercial advertising or marketing
• Biometric identification systems
• Political campaigning or surveillance

6. Compensation and Payments

6.1 No Guarantee of Payment

YPAI Voice itself does not provide monetary compensation. If you were recruited via a third-party platform (e.g., Prolific, CloudResearch), compensation is managed by that platform—not by YPAI.

6.2 Third-Party Payment Issues

YPAI is not responsible for:

• Payment disputes with recruitment platforms
• Delayed or missing compensation from external providers
• Eligibility determinations by third parties

7. Data Privacy

Your use of the App is also governed by our Privacy Policy. Key points:

• Data Collected: Participant ID, voice recordings, device metadata
• Data Use: Research, AI training, app improvement
• Data Sharing: Research partners (under DPAs), cloud storage (Cloudflare R2)
• Your Rights: Access, rectification, erasure, portability (GDPR)

8. Disclaimers and Limitations of Liability

8.2 No Liability for Loss

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YPAI SHALL NOT BE LIABLE FOR:

• Data Loss: Lost recordings due to technical failures
• Device Damage: Harm to your device from App use
• Third-Party Actions: Misconduct by research partners
• Indirect Damages: Lost profits, data, or business opportunities

8.3 Limitation of Damages

If YPAI is found liable, damages are limited to €100 EUR or the amount you paid to use the App (whichever is greater). Since the App is free, liability is capped at €100 EUR.

9. Indemnification

You agree to indemnify and hold harmless YPAI, its affiliates, and partners from any claims, damages, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of third-party rights (e.g., copyright, privacy)
• Your misuse of the App

10. Termination

10.1 By You

You may stop using the App at any time by:

• Uninstalling the App from your device
• Requesting data deletion via [email protected]

10.2 By YPAI

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in fraudulent or abusive behavior
• Fail to meet eligibility requirements

10.3 Effect of Termination

Upon termination:

• Your license to use the App ends immediately
• Uploaded recordings remain subject to the license grant (Section 5.2)
• You may request data deletion under GDPR

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Denmark, without regard to conflict of law principles.

11.2 Jurisdiction

Any disputes shall be resolved exclusively in the courts of Copenhagen, Denmark.

12. General Provisions

12.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and YPAI regarding the App.

12.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

12.3 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.
