Terms & Conditions

Last updated: September 2026

These Terms & Conditions govern your use of the ypai.ai website and set the default terms for dealings with Your Personal AI AS that are not covered by a signed contract. For customer engagements, the signed Statement of Work, Data Processing Agreement and any dataset licence take precedence. Contributors on the data-collection platform are bound by the separate Contributor Terms of Service.

1. Who we are

The website at ypai.ai and the services described on it are provided by Your Personal AI AS ("YPAI", "we", "us"), a Norwegian limited company (aksjeselskap) registered with the Brønnøysund Register Centre under organisation number 933 915 778, with its registered office at Lysaker torg 5, 1366 Lysaker, Norway.

You can reach us at contact@ypai.ai or through the contact form.

2. Scope and which document governs

YPAI works with three groups of people, and each group is covered by different documents:

You are What governs Where these Terms apply
A visitor reading the website, downloading material or submitting a form These Terms, the Privacy Policy, the Cookie Policy and the Disclaimer In full
A customer or prospective customer of YPAI's data or AI implementation services The signed Statement of Work (SOW), Data Processing Agreement (DPA), dataset licences, security and residency annexes and any master agreement Before a contract is signed, and afterwards only where the signed documents are silent
A contributor recording, collecting, annotating or reviewing data through the contributor platform The Contributor Terms of Service, the project brief and the consent given for each project Only for use of the ypai.ai website itself

In these Terms, "Website" means ypai.ai and its subdomains, "Services" means the data collection, annotation, evaluation, dataset and AI implementation services YPAI offers, and "Engagement Documents" means the signed SOW, DPA, licences, annexes and any master agreement for a specific customer engagement.

If anything in these Terms conflicts with Engagement Documents, the Engagement Documents prevail for that engagement. If anything here conflicts with the Contributor Terms of Service, the Contributor Terms prevail for contributor work.

3. Acceptance and changes

By using the Website, submitting a form, requesting a proposal or otherwise engaging with YPAI, you accept these Terms. If you act on behalf of a company or other organisation, you confirm that you are authorised to bind it, and "you" then means that organisation.

We may update these Terms. The "last updated" date at the top of this page shows the current version. Changes apply to Website use from the moment they are published. Changes never alter signed Engagement Documents, which can only be amended in writing by both parties.

4. Use of the website

You may browse the Website and use its content for the purpose of learning about and evaluating YPAI's Services. You may not:

  • Copy, scrape, crawl, mirror or systematically extract Website content, sample data, model demonstrations or documents, whether manually or with automated tools, beyond what standard search-engine indexing requires
  • Use Website content to train, fine-tune or evaluate machine-learning models
  • Reverse engineer, decompile or attempt to derive the source of any in-browser model, tool or demonstration on the Website
  • Probe, scan, load-test or attempt to bypass the security or rate limits of the Website, its forms or its APIs
  • Submit forms with false identities, on behalf of people who have not asked you to, or in bulk
  • Frame the Website, remove notices from downloaded material or present YPAI content as your own

Website content is provided for general information. It describes capabilities and services; it is not an offer capable of acceptance, and specific commitments are made only in Engagement Documents. The Disclaimer applies to all Website content.

5. Accounts, forms and communications

Some parts of the Website let you submit contact requests, schedule calls, request proposals, download documents or create an account. When you do, you agree to:

  • Provide accurate, current and complete information and keep it up to date
  • Keep any credentials confidential and tell us promptly of unauthorised use
  • Accept responsibility for activity under your account
  • Receive replies and follow-up relating to your request. Marketing communications are sent only where you have opted in, and you can withdraw at any time

Bot protection, rate limiting and abuse detection run on our forms and APIs. Submissions that trip these controls may be discarded without notice.

Accounts on the contributor platform are governed by the Contributor Terms of Service, not this section.

6. Customer engagements

A customer engagement starts with a brief, moves through scoping and, if both parties agree, is documented in a Statement of Work with acceptance criteria and, where personal data is involved, a Data Processing Agreement. Delivery, quality thresholds, formats, volumes, timelines, review architecture, rights and commercial terms are defined in those documents for each engagement. Nothing on the Website, in a proposal or in a sample creates a commitment beyond what the signed Engagement Documents say.

Until Engagement Documents are signed:

  • Proposals, quotes, estimates and scoping notes are indicative and valid for the period stated on them, or 30 days if none is stated
  • Neither party is obliged to proceed
  • Each party bears its own costs of scoping and evaluation unless agreed otherwise in writing

Where the Engagement Documents are silent on a point, Sections 8 to 18 of these Terms apply as default terms.

7. Pilots and proposals

YPAI offers customer-specific pilot projects. The customer provides the target modality, use case, markets and languages, participant or asset requirements, technical and annotation specifications, quality thresholds and acceptance criteria. YPAI uses the pilot to demonstrate output quality, the proposed workflow, QA and review architecture, formats, delivery structure and the agreed acceptance criteria.

Scope and commercial terms are agreed in writing before a pilot starts. Whether a pilot carries a separate fee is decided with the customer during scoping, taking into account complexity, setup cost, mobilisation, third-party costs, resources and delivery risk. Every pilot has its own SOW, acceptance criteria and, where required, DPA and other contract documents. Pilot outputs are delivered under the rights and licence terms in those documents.

8. Fees, invoicing and payment

  • Fees, currency, milestones and payment schedule are those stated in the Engagement Documents
  • Fees exclude value-added tax and any other applicable taxes, duties or withholding, which are added or borne as the law requires
  • Unless otherwise agreed, invoices are due 30 days from the invoice date
  • Overdue amounts accrue statutory late-payment interest under Norwegian law, and YPAI may suspend work on the affected engagement after written notice until payment is received
  • Disputed invoice items must be raised in writing before the due date; undisputed items remain payable
  • Third-party costs agreed in the SOW (participants, licences, infrastructure) are passed through as stated there

9. Intellectual property

Website

All rights in the Website, including text, design, code, images, sample data, in-browser tools and demonstrations, trademarks and logos, belong to YPAI or its licensors. No licence to use YPAI's name or marks is granted, other than a factual reference to YPAI as a supplier where the Engagement Documents permit it.

Customer materials

Data, documents, specifications and other materials a customer supplies remain the customer's property. The customer grants YPAI a licence to use them only as needed to perform the engagement.

Deliverables

Ownership of and licences to deliverables (datasets, annotations, evaluations, models, code, reports) are set in the Engagement Documents. Unless they say otherwise, rights in a deliverable pass to the customer on payment in full, and YPAI keeps its pre-existing intellectual property, tools, methods, workflows, know-how and any general improvements to them that do not embody customer confidential information.

Licensed and brokered datasets

Datasets licensed from or brokered by YPAI are provided under the dataset licence for that dataset, which defines permitted uses, sublicensing, attribution and retention.

10. Data protection

Personal data YPAI processes for its own purposes (website visitors, business contacts, applicants) is described in the Privacy Policy. Personal data processed for a customer engagement is governed by the DPA for that engagement, and the roles, categories, subprocessors, transfer mechanisms and retention terms are described in How YPAI processes customer and project data.

Where YPAI collects participant or contributor data for a customer, collection is based on documented consent and releases obtained under the Contributor Terms of Service and the project brief. Each party remains responsible for its own compliance with data protection law in the role it holds for the engagement.

11. Confidentiality

Each party will keep confidential any non-public information it receives from the other in connection with a brief, scoping, proposal or engagement, including project scope, pricing, customer identity, specifications, guidelines, sample data and unreleased products. This applies from the first exchange, before any contract is signed, and survives for five years after the relationship ends, or indefinitely for trade secrets and personal data.

Confidential information may be disclosed only to personnel, contractors and subprocessors who need it for the engagement and are bound by equivalent obligations, or where the law requires disclosure. A mutual non-disclosure agreement is available on request and, once signed, takes precedence over this section.

12. Third-party content and links

The Website may reference third-party tools, cloud providers, datasets, standards or publications, and may link to external sites. These references are informational. YPAI does not control third-party sites and is not responsible for their content, availability or terms. Third-party trademarks belong to their owners; a reference does not imply endorsement, partnership or certification unless stated in Engagement Documents.

13. Warranties and disclaimers

The Website is provided "as is" and "as available". YPAI does not warrant that the Website is error-free, uninterrupted or free of harmful components, or that its content is complete or current at any given moment.

For engagements, YPAI warrants that Services will be performed with reasonable skill and care by suitably qualified personnel and in accordance with the Engagement Documents. Any further warranties, including quality thresholds, acceptance criteria and delivery dates, are those expressly stated in the Engagement Documents and no others.

YPAI does not warrant that any dataset, annotation or model will achieve a particular outcome, accuracy or commercial result in the customer's own systems, and does not provide legal, regulatory or compliance advice. Whether a dataset or system meets a customer's regulatory obligations is the customer's assessment to make.

14. Limitation of liability

To the extent permitted by law:

  • Neither party is liable to the other for indirect or consequential loss, loss of profit, revenue, business, goodwill or data, or the cost of substitute services
  • YPAI's total liability for use of the Website is limited to NOK 10,000
  • YPAI's total liability under an engagement is limited to the amount stated in the Engagement Documents or, if none is stated, the fees paid by the customer under that engagement in the 12 months before the event giving rise to the claim

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, gross negligence or wilful misconduct, or any liability that cannot be limited under applicable law.

15. Indemnity

The customer will indemnify YPAI against third-party claims, fines and reasonable costs arising from materials, data or instructions the customer supplies that infringe third-party rights, breach data protection law or are unlawful, or from the customer's use of deliverables outside the rights granted in the Engagement Documents.

YPAI will indemnify the customer against third-party claims that a deliverable, as delivered and used within the granted rights, infringes a third party's intellectual property rights, excluding claims arising from customer materials, customer modifications or combination with items YPAI did not supply. The indemnified party must notify the other promptly, allow it to control the defence and give reasonable assistance.

16. Suspension and termination

YPAI may restrict or suspend access to the Website or its forms where it reasonably believes these Terms are being breached, the Website is being attacked or abused, or the law requires it.

Engagements are terminated on the terms in the Engagement Documents. Where they are silent, either party may terminate for material breach not remedied within 30 days of written notice, or immediately if the other party becomes insolvent. On termination, the customer pays for work performed and non-cancellable commitments made up to the termination date, each party returns or deletes the other's confidential information as instructed, and the sections that by their nature should survive (intellectual property, confidentiality, data protection, liability, governing law) continue to apply.

17. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, epidemic, government action, labour disputes not involving its own staff, or failure of public utilities, telecommunications or cloud infrastructure it does not operate. The affected party must notify the other promptly and use reasonable efforts to resume. If the event continues for more than 60 days, either party may terminate the affected engagement on written notice.

18. Compliance, sanctions and export control

Each party will comply with the laws applicable to it, including anti-bribery, sanctions, export-control and data protection law. YPAI does not provide Services to persons or entities subject to sanctions under Norwegian, EU, UK or US law, or for uses prohibited by those regimes, and may decline or terminate an engagement where proceeding would breach them. The customer is responsible for ensuring that its intended use of deliverables, including any AI system built with them, complies with the law that applies to that use.

19. Contributors

People who record, collect, annotate or review data through YPAI's contributor platform do so under the Contributor Terms of Service, which cover eligibility, independent-contractor status, task acceptance and review, payment, the licence granted in contributed data, consent and withdrawal, confidentiality and termination. Those terms, together with the project brief and the consent given for each project, govern contributor work. These Terms apply to contributors only for their use of the ypai.ai website.

20. Governing law and disputes

These Terms, and any dispute or claim arising out of or in connection with them or the Website, are governed by the laws of Norway, without regard to conflict-of-law rules.

The parties will first try to resolve any dispute through good-faith discussion between representatives with authority to settle. If that fails within 30 days of written notice of the dispute, the ordinary courts of Norway have exclusive jurisdiction, with Oslo District Court as the agreed venue. Engagement Documents may specify a different law or forum for that engagement, in which case that choice prevails.

Where mandatory provisions of EU or EEA consumer or data protection law apply, including the General Data Protection Regulation, those provisions take precedence over this section to the extent required by law.

21. General provisions

  • Entire agreement. For Website use, these Terms together with the Privacy Policy, Cookie Policy and Disclaimer are the entire agreement. For engagements, the Engagement Documents are the entire agreement and supersede prior proposals and discussions
  • Severability. If a provision is found unenforceable, it is limited to the minimum extent necessary and the rest remains in force
  • No waiver. A failure or delay in enforcing a right is not a waiver of it
  • Assignment. Neither party may assign or transfer its rights without the other's written consent, except to a successor in a merger or sale of substantially all its assets, on notice
  • Subcontracting. YPAI may use contractors, contributors and subprocessors to perform Services and remains responsible for their work; subprocessors handling personal data are listed per engagement as described on the data-processing page
  • Notices. Notices to YPAI go to contact@ypai.ai or the registered office address; notices to a customer go to the contact named in the Engagement Documents
  • Language. These Terms are written in English. Translations are for convenience; the English version governs
  • No partnership. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship
