Contributor Terms of Service

1. Who these terms are for

"YPAI", "we" and "us" means Your Personal AI AS, organisation number 933 915 778, Markveien 57, 0550 Oslo, Norway. "You" means the person who registers as a contributor. "Contribution" means anything you submit through the platform: recordings, images, video, text, annotations, labels, transcripts, translations, ratings, reviews and any metadata attached to them. "Brief" means the project-specific instructions, guidelines, rates, deadlines and acceptance criteria shown to you before you accept a task. "Customer" means the organisation for whom a project is run.

By registering, accepting a task or submitting a Contribution, you accept these terms. If you do not accept them, do not use the platform.

2. Eligibility

To be a contributor you must:

• Be at least 18 years old
• Have the legal capacity to enter into a binding contract where you live
• Register in your own name with accurate identity, contact, location and payment details
• Hold only one contributor account
• Not be prohibited from receiving payment from a Norwegian company under sanctions or export-control law

Individual projects may set further requirements in the Brief, such as native language, country of residence, accent, age band, device or environment. These exist because the Customer's specification requires them. Misstating them disqualifies the Contribution and may end your account.

We may ask you to verify your identity, age, location or language before or during a project. We may suspend tasks until verification is complete.

3. Your account

• Keep your credentials confidential and tell us promptly of any unauthorised access
• You are responsible for everything submitted from your account
• Your account is personal. Do not share, sell, lend or transfer it, and do not let anyone else complete tasks on it
• Keep your contact and payment details current. We cannot pay to details we do not have
• You may close your account at any time from the platform or by contacting us. Section 14 explains what happens to accepted work, pending payments and the licence in your Contributions when you do

4. Independent contractor status

You take part as an independent contractor. Nothing in these terms creates an employment, agency, partnership or joint-venture relationship between you and YPAI or any Customer. In particular:

• You decide which tasks to accept and when to work. We do not set working hours and you are not required to accept any task
• You are not entitled to salary, holiday pay, sick pay, pension, insurance or other employee benefits
• You are responsible for all taxes, social security contributions, registrations and reporting that apply to your earnings where you live. YPAI does not withhold tax unless the law where you are requires it to
• You may work for others, including other data-collection platforms, subject to Section 12 on confidentiality
• You provide your own device, connection, environment and equipment unless the Brief says otherwise

5. Projects, briefs and tasks

Work on the platform is organised into projects, each run for a Customer or for YPAI's own datasets. Before you accept a task you will see its Brief. The Brief is part of your agreement with us for that project. Where the Brief conflicts with these terms on rate, deadline, acceptance criteria or project-specific rules, the Brief prevails for that project; on everything else these terms prevail.

• The Brief states what to submit, the guidelines and quality standard, the rate, the payment schedule and any deadline
• We may update guidelines during a project, for example to clarify edge cases. Updates apply to tasks accepted after the update and are shown to you
• We may pause, reduce or close a project at any time, including when the Customer's need is met. Tasks already accepted by review are paid
• You may stop taking tasks at any time. Tasks you have started but not submitted are simply not paid
• Task availability varies by project, language, location and demand. We do not guarantee any volume of work or level of earnings

6. Quality review and rejection

Every Contribution is reviewed against the Brief before it is accepted. Review may be automated, human or both, and may include checks for audio quality, image quality, completeness, accuracy, adherence to guidelines, duplication and fraud.

• An accepted Contribution is paid at the Brief rate
• A rejected Contribution is not paid. Where the platform supports it, you will see the reason and, if the Brief allows, may resubmit
• We may reject a Contribution that does not follow the Brief, is of insufficient quality, is a duplicate, was not produced by you, is synthetic or AI-generated where the Brief asks for real data, or breaches Section 8
• Review decisions are made in good faith. If you believe a rejection is wrong, contact us within 14 days with the task reference; we will look again and answer
• A pattern of rejections, or any Contribution found to be fraudulent, may lead to suspension or termination under Section 14

7. Payment

• You are paid the rate stated in the Brief for each accepted Contribution. Rates are set per project and may differ between projects, languages and task types
• Payment is made on the schedule and by the method stated in the Brief or on the platform, to the payment details on your account
• Rates are stated exclusive of any fees charged by the payment provider or your bank, and exclusive of any tax you owe
• Where a project uses a minimum payout threshold, accepted earnings below the threshold carry over to the next payout
• We may withhold or reclaim payment for Contributions later found to be fraudulent, duplicated, produced by someone else or in breach of these terms, and may set such amounts off against future payments
• If a payment cannot be delivered because your details are wrong or incomplete, we will hold it and tell you. Amounts unclaimed for 12 months after notice are forfeited
• Payment disputes must be raised within 60 days of the payout date, with the task references

8. Content standards and prohibited conduct

Every Contribution must be:

• Produced by you personally, in the session it is submitted from
• Genuine: real recordings, images and video, not synthetic, AI-generated, re-encoded, copied or previously published material, unless the Brief asks for such material
• Made in accordance with the Brief, including its instructions on environment, device, language and content
• Free of material you do not have the right to submit: copyrighted works, trademarks, other people's confidential information
• Free of material that is unlawful, defamatory, hateful, sexually explicit, violent or otherwise harmful, unless the Brief expressly requests it for a safety-related project and you accept that task knowingly

You must not:

• Create or use more than one account, or use an account registered to someone else
• Misrepresent your identity, age, language, location or device, including by using a VPN or proxy to appear elsewhere
• Use scripts, bots, automation, emulators or voice changers to produce or submit Contributions
• Submit the same Contribution more than once, or to more than one project, unless the Brief allows it
• Share task materials, guidelines, prompts, test sets or Customer information with anyone, or publish them anywhere
• Record or photograph anyone who has not agreed to it, or any minor without a parent or guardian's written consent where the Brief permits minors at all
• Attempt to reverse engineer, probe or interfere with the platform, its review systems or its APIs

9. Rights in what you submit

You keep any copyright you hold in your Contributions. In return for the payment stated in the Brief, you grant YPAI a licence in each Contribution that is:

• Worldwide, perpetual and irrevocable, to the extent the law allows
• Non-exclusive, so you may use the same content elsewhere, subject to Section 12
• Royalty-free beyond the payment for the accepted Contribution, with no further payment for later uses
• Sublicensable to YPAI's Customers, their affiliates and licensees, and to YPAI's subprocessors and successors
• Unrestricted in purpose, including training, fine-tuning, evaluating and benchmarking machine-learning models; building, operating and improving commercial products and services; research and development; quality assurance; and inclusion in datasets that are licensed, sold or otherwise made available to third parties
• Covering modification: Contributions may be copied, stored, transcoded, edited, cut, annotated, transcribed, translated, combined with other data, used to derive features, embeddings and models, and otherwise transformed without limit

To the extent permitted by law, you waive, and agree not to assert, any moral rights in your Contributions, including the right to be identified as author and the right to object to modification. Contributions are not attributed to you.

The licence begins on submission. If a Contribution is rejected, the licence for that Contribution ends and we delete it in the ordinary course, except where retention is needed for fraud prevention, dispute resolution or legal obligations.

YPAI has no obligation to use any Contribution. Where a Brief states that a project's outputs are assigned to the Customer, you agree that on acceptance your rights in the Contribution transfer to YPAI for onward transfer to that Customer, with the same effect as the licence above.

10. Personal data, consent and withdrawal

Many Contributions contain your personal data: your voice, your face, your handwriting, your surroundings. Voice and face data can be used to identify you and may be treated as biometric data under data protection law. For that reason:

• Before each project that involves personal data, you are shown a project-specific consent notice and asked to agree. The notice names the purposes, the categories of recipients, the retention period and how to withdraw
• Your account data (name, contact and payment details, verification records, review history) is processed under the Privacy Policy as necessary to run the platform and pay you
• You may withdraw consent for a project at any time by contacting us with the project reference. Withdrawal is not retroactive: it does not affect processing that already took place, and it does not entitle us to reclaim payments already made
• After withdrawal we stop further processing of your Contributions for that project in our own systems and delete or anonymise them within a reasonable time, unless we must keep them for legal reasons. Where Contributions have already been delivered to a Customer under contract, deletion of the delivered copies is governed by that contract; we identify the affected records and forward your request to the Customer
• A model that has already been trained on your Contribution is not retrained or withdrawn as a result of your withdrawal. Withdrawal stops future use of the data, not the existence of models trained before it
• You have the rights described in Section 8 of the Privacy Policy, including access, correction, deletion of account data, objection and portability, and the right to complain to a supervisory authority

11. Other people in your contributions

If a Contribution includes another person's voice, image, likeness, property or personal data, you must have that person's informed, written consent before recording, in the form the Brief specifies, and you must be able to produce it on request. Where the Brief provides a release form, use it. You must not include anyone under 18 unless the Brief expressly allows it and a parent or guardian has signed the release. Contributions that include people without a valid release are rejected and may lead to termination.

12. Confidentiality

You will keep confidential, and use only to complete your tasks:

• The identity of any Customer, where it is disclosed to you or can be inferred
• Briefs, guidelines, prompts, scripts, test sets, sample data and task materials
• Unreleased products, features, names or systems you learn about through a project
• Rates, volumes and any non-public information about YPAI's operations

This obligation starts when you first see the material, survives the end of your account and lasts for five years, or indefinitely for trade secrets. You may not publish, post, screenshot or describe task content on social media, forums or elsewhere. A project may additionally require you to sign a separate non-disclosure agreement before you can take part.

13. The platform and its software

The contributor platform, its apps, websites, software, designs, review systems and content are owned by YPAI or its licensors. You are granted a limited, revocable, non-transferable right to use them to complete tasks. You may not copy, modify, distribute, reverse engineer, scrape or build on them, and you may not use them for any purpose other than contributing under these terms. The platform is provided "as is"; we do not promise it will be available at any particular time or free of errors.

14. Suspension and termination

By you. You may close your account at any time. Contributions already accepted are paid on the next scheduled payout. Contributions still under review are reviewed and paid if accepted.

By us. We may suspend or close your account with immediate effect if you breach these terms or a Brief, submit fraudulent or misrepresented Contributions, operate more than one account, fail verification, or if the law or a Customer requirement requires it. We may also close accounts that have been inactive for 24 months, with notice to your registered email. We may otherwise close your account on 30 days' notice.

Effect. On closure for any reason:

• Payment for accepted Contributions is made as normal, except amounts withheld or reclaimed under Section 7
• The licence in Section 9 for accepted Contributions continues; it does not end with your account
• Your consent under Section 10 continues until you withdraw it, which you may do at any time
• Sections 9 to 12 and 15 to 17 survive

15. Your warranties and indemnity

For each Contribution you warrant that:

• You made it yourself and have the right to grant the licence in Section 9
• It complies with the Brief and Section 8
• It does not infringe anyone's copyright, trademark, privacy, publicity or other rights
• You have obtained every consent and release required under Section 11
• The eligibility information on your account and any project-specific declaration are true

You will indemnify YPAI and its Customers against claims, losses and reasonable costs arising from a breach of these warranties or of Sections 8, 11 or 12.

16. Disclaimer and limitation of liability

The platform and all tasks are provided "as is". We do not warrant that tasks will be available, that any Contribution will be accepted, or that you will earn any particular amount.

To the extent permitted by law, YPAI is not liable for indirect or consequential loss, and YPAI's total liability to you under these terms is limited to the amounts due to you for accepted Contributions in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be limited by law, including your mandatory rights under the data protection and consumer law of the country where you live.

17. Governing law and disputes

These terms are governed by the laws of Norway. If you have a complaint, contact us first; most issues, including review and payment questions, are resolved that way. Disputes that cannot be resolved within 30 days may be brought before the ordinary courts of Norway, with Oslo District Court as the agreed venue. If you are a consumer under the law of the country where you live, you keep any right that law gives you to bring a claim in your own courts and to rely on its mandatory protections.

18. Changes to these terms

We may update these terms. Material changes are announced on the platform or by email to your registered address at least 14 days before they take effect, and apply to tasks accepted after that date. Continued use of the platform after the effective date means you accept the updated terms. If you do not, close your account before that date; accepted work is still paid.
